Terms and Conditions of Use

IMPORTANT NOTICE: By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use the Services.

1. Parties, Definitions, and Acceptance

1.1 Parties

This Agreement is between Echo Ambulance LLC ("Echo Ambulance," "we," "us," or "our") and you, the individual user ("User," "you," or "your") accessing the dispatch platform, ePCR system, revenue cycle tools, mobile application, and related services (collectively, the "Services").

1.2 Definitions

  • Covered Entity Organization: a healthcare provider, EMS agency, or other HIPAA-covered entity with an executed BAA and MSA with Echo Ambulance LLC.
  • MSA: Master Services Agreement governing commercial terms and service levels.
  • BAA: Business Associate Agreement governing handling of PHI.
  • PHI: Protected Health Information as defined by HIPAA.

1.3 Authorized Users

Access is limited to authorized personnel of Covered Entity Organizations, including EMS crews, dispatchers, managers, and billing/administrative staff.

1.4 Representations

By using the Services, you represent that you are at least 18 years old, are authorized by a Covered Entity Organization, and have authority to accept this Agreement.

2. Access and Account Provisioning

2.1 Provisioned Access Only

Accounts are provisioned exclusively by your Covered Entity Organization. No self-registration is allowed.

2.2 Credential Security

  • Keep credentials confidential and never share access.
  • Log out after each session, especially on shared or personal devices.
  • Report suspected unauthorized access immediately to your supervisor and security@echoambulance.com.

2.3 Authorized Use

You may use the Services only for lawful duties authorized by your Covered Entity Organization.

3. Personal Device Use

3.1-3.2 Device Security

Personal device access is permitted if minimum security controls are maintained, including screen lock, device encryption, current app version, and no rooted/jailbroken devices.

3.3 PHI on Personal Devices

  • Do not save, copy, export, screenshot, or transfer PHI outside the app.
  • Do not share screens while PHI is visible.
  • Treat all patient data as strictly confidential.

3.4 Lost or Stolen Devices

Notify your supervisor and Echo Ambulance immediately, and use available remote lock/wipe features. Echo Ambulance may deactivate compromised access.

3.5 Future Device Management

Echo Ambulance may introduce additional device management requirements with at least 30 days advance notice.

4. Acceptable Use

4.1 Permitted Use

Use is limited to authorized EMS, dispatch, transport, billing, and related administrative duties.

4.2 Prohibited Conduct

  • Accessing accounts or records outside your authorization scope.
  • Circumventing security controls or introducing malicious code.
  • Reverse engineering or automated scraping/bot access.
  • Exporting PHI to unauthorized systems or locations.
  • Any use violating HIPAA, law, or organizational policies.

4.3 Consequences

Violations may result in immediate suspension or termination, reporting to regulators, and legal liability.

4.4 Good-Faith Reporting Protection

Nothing in this Agreement restricts good-faith reporting of safety, HIPAA, or platform concerns to your organization or regulators.

5. HIPAA Compliance and PHI

5.1 User Obligations

  • Access PHI only to the minimum necessary extent.
  • Comply with HIPAA, applicable law, and workforce policies.
  • Complete required HIPAA training before PHI access.
  • Report suspected PHI misuse immediately.

5.2 AI-Powered Features

AI features (e.g., dispatch optimization, routing, auto-dispatch, ePCR support) are decision-support tools only and do not replace clinical judgment or medical direction.

5.3 No Independent PHI Rights

You have no independent right to PHI beyond what is authorized by your Covered Entity Organization.

6. Intellectual Property

The Services and all related technology, software, models, interfaces, and content are owned by Echo Ambulance LLC.

You receive a limited, non-exclusive, revocable license to use the Services only for authorized purposes. You may not copy, modify, distribute, sell, sublicense, or otherwise exploit the Services without prior written consent.

7. Suspension and Termination

Access may terminate automatically if your Covered Entity Organization deprovisions your account or its agreement with Echo Ambulance ends.

Echo Ambulance may suspend or terminate access for Agreement violations, security threats, legal requirements, or organization requests.

Upon termination, your license ends immediately and you must cease use of the Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW.

Echo Ambulance does not guarantee uninterrupted availability, error-free operation, or accuracy of AI-generated recommendations.

8.1 Service Levels and Accessibility

Service levels are defined in the MSA with your Covered Entity Organization. For accessibility barriers, contact privacy@echoambulance.com.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ECHO AMBULANCE LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

Total direct liability to you personally is capped as set forth in the Agreement, subject to stated exceptions (including willful misconduct, gross negligence, and non-excludable liabilities).

10. Personal Liability

You are personally responsible for intentional misconduct or willful misuse of the Services, including intentional PHI violations or deliberate security circumvention.

11. Updates to This Agreement

Echo Ambulance may modify this Agreement. Material updates include date changes, notice at least 30 days in advance, and in-app acknowledgment before continued use.

12. Governing Law and Dispute Resolution

This Agreement is governed by Texas law. Disputes are subject to binding arbitration in Houston, Harris County, Texas, administered by the AAA, subject to listed exclusions and opt-out rights.

Class actions are waived to the fullest extent permitted by law. Either party may seek emergency injunctive relief in Harris County, Texas.

13. General Provisions

  • Entire agreement includes this Agreement, the Privacy Policy, and relevant BAA/MSA terms.
  • Invalid provisions are modified or severed; remaining provisions remain in force.
  • No waiver is effective unless in writing by an authorized representative.
  • Assignment and force majeure terms apply as stated in the Agreement.
  • No third-party beneficiary rights are created.
  • Security breach notifications are provided as required by law and contract.
